As far as I know, this is by design - Cortana replaces Bing Search, and currently doesn't support scanning QR/barcodes (although she can do music searches, so this might change in the future). As far as I know, quiet hours is a Cortana feature. When I have her enabled, there is a "quiet hours" option in my settings menu. That redirects me to Cortana's quiet hours settings menu. This leads me to believe she must be enabled.

The only case in which I have ever heard Cortana speak my name is if I ask her what my name is. AFAIK she never speaks it otherwise. I'm guessing that they want Cortana to be able to pronounce your name in case they do decide to have Cortana speak your name more often, rather than trying to make everyone teach their name after she needs to.
Starting with Windows Phonee 8.1.1, Microsoft introduced "Hey Cortana", which translates to a passive listening capability as you'd like it. It is restricted to few phones at the moment with special, dedicated hardware, as I suppose it would be a significant battery drain otherwise.
